Welcome to Bounta. These Terms of Service ("Terms") form a binding legal agreement between you and Bounta ("Bounta," "we," "us," or "our") governing your access to and use of the Bounta mobile application, website, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. What Bounta Is
Bounta operates a peer-to-peer marketplace that connects two types of users: Buyers, who wish to purchase goods from third-party merchants at a discount, and Providers, who hold eligible credit card cashback or reward offers and are willing to place orders on behalf of Buyers in exchange for a share of the resulting reward.
Bounta is a technology platform and marketplace. Bounta is not a merchant, retailer, bank, credit card issuer, money transmitter, or party to any transaction between a Buyer and a third-party merchant. Bounta does not itself sell, ship, or warrant any goods purchased through the Service.
2. Eligibility
To use the Service you must:
- Be at least 18 years old and legally capable of entering a binding contract;
- Reside in a jurisdiction where the Service is available;
- Provide accurate, current, and complete information during registration and keep it updated;
- If acting as a Provider, be the lawful holder of the credit card whose rewards you are offering and comply with your card issuer's terms of use.
We may refuse, suspend, or terminate any account at our sole discretion, including where we believe continued access poses a risk to other users, to Bounta, or to our payment partners.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@bounta.app if you suspect unauthorized use of your account. Bounta is not liable for losses resulting from your failure to safeguard your credentials.
4. How the Marketplace Works
4.1 Buyer Orders
A Buyer initiates a request by selecting a product from a participating merchant. Upon submission, the Buyer authorizes Bounta's payment processor, Stripe, Inc. ("Stripe"), to place a pre-authorization hold on the Buyer's payment method for the discounted order amount. No funds are captured at this stage.
4.2 Matching
Bounta attempts to match the Buyer's request with an available Provider who holds a valid cashback offer matching the merchant. If no match is made within two (2) hours, or such other window as Bounta may communicate, the pre-authorization is released automatically.
4.3 Provider Fulfillment
Once matched, the Provider places an order with the third-party merchant using the Provider's own payment method and arranges for delivery of the goods to the Buyer's specified address. The Provider agrees to complete the order in accordance with the merchant's terms and the details provided by the Buyer.
4.4 Verification and Capture
Bounta verifies the completion of the order by parsing the merchant's order-confirmation email using Mailgun or equivalent services. Once verified, Bounta instructs Stripe to capture the pre-authorized amount from the Buyer's payment method.
4.5 Distribution of Funds
Following capture, the value of the reward (meaning the cashback or equivalent benefit triggered by the qualifying purchase) is distributed as follows: sixty percent (60%) to the Provider, thirty percent (30%) to the Buyer as a discount applied at checkout, and ten percent (10%) retained by Bounta as a service fee. Bounta may update these percentages from time to time with notice to users.
5. Payments and Payouts
All payments are processed by Stripe. By using the Service you agree to the Stripe Services Agreement and, if acting as a Provider, the Stripe Connected Account Agreement. Providers receive payouts via Stripe Connect Express to a verified bank account. Standard ACH transfer timelines apply (typically one to two business days after withdrawal). A minimum withdrawal threshold of one hundred US dollars ($100) applies unless otherwise stated in the Service.
You authorize Bounta and Stripe to debit, credit, hold, and transfer funds on your behalf as necessary to complete transactions initiated through the Service.
6. Fees and Taxes
Bounta's service fee is disclosed in Section 4.5 and may be updated from time to time. You are solely responsible for determining and paying any taxes applicable to income you earn through the Service. Providers may receive a tax information form (such as IRS Form 1099-K) from Stripe where required by law.
7. User Obligations and Prohibited Conduct
You agree that you will not, and will not attempt to:
- Use the Service in violation of any applicable law, regulation, or third-party agreement (including your credit card issuer's cardholder agreement);
- Misrepresent your identity, payment method, rewards eligibility, or any other material information;
- Use the Service to launder funds, finance terrorism, evade sanctions, or engage in any other illegal financial activity;
- Circumvent Bounta's fee structure or match outside the platform with users you were introduced to through the Service;
- Attempt to reverse-engineer, scrape, or interfere with the Service or its underlying infrastructure;
- Upload malicious code, submit false or manipulated order confirmations, or otherwise compromise the integrity of the verification process;
- Purchase goods for resale in a manner that violates the merchant's terms of service;
- Use the Service to purchase unlawful, restricted, or prohibited items.
Violations may result in immediate account suspension, forfeiture of pending payouts to the extent permitted by law, and referral to law enforcement.
8. Third-Party Merchants
Bounta does not sell goods. Goods ordered through the Service are sold by the underlying third-party merchant chosen by the Buyer. All questions regarding product quality, shipment, returns, refunds, warranties, and merchant disputes must be directed to the merchant in the first instance, subject to that merchant's policies. Bounta will reasonably assist where it can but is not responsible for the acts or omissions of merchants.
9. Returns, Disputes, and Chargebacks
If a Buyer returns an item to the merchant and receives a refund, the reward that was triggered by that order may be reversed by the card issuer. In such cases, the associated distribution among Buyer, Provider, and Bounta may be reversed, and Bounta may debit corresponding amounts from the Provider's Stripe Connect balance or pursue repayment through other lawful means. Buyers who initiate a chargeback with their card issuer without first attempting to resolve the dispute with Bounta and the merchant may have their accounts suspended.
10. Intellectual Property
All content, software, trademarks, logos, and other materials made available through the Service are owned by Bounta or its licensors and are protected by intellectual property laws. Bounta grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, BOUNTA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. BOUNTA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY PARTICULAR MATCH, ORDER, OR REWARD WILL BE SUCCESSFULLY COMPLETED.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BOUNTA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. BOUNTA'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BOUNTA IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Bounta and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including credit card issuer terms; or (d) any content or information you submit to the Service.
14. Termination
You may terminate your account at any time by contacting us at hello@bounta.app. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for Bounta or other users, or if required to do so by law or our payment partners. Provisions which by their nature should survive termination (including Sections 10 through 16) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, the parties agree to submit the dispute to binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with venue in San Francisco, California. You waive the right to participate in a class action or class-wide arbitration to the fullest extent permitted by law. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
16. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least seven (7) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
